TDI assisted with initial market entry and geopolitical assessments related to a private equity firm’s investments in the conventional and renewable power generation sectors of several Sub-Saharan African countries.  For each portfolio company’s operations, TDI provided intelligence to guide Power Purchase Agreement (PPA) negotiations and conducted pre-transaction due diligence to support acquisition of power generation assets, commercial real estate, and local land rights.   

Additionally, TDI worked with the fund’s counsel to design, develop, and deploy a compliance program to support the onboarding of local content labor, supply chain vendors, construction companies, commodity traders, and other third parties critical to construction and operations of each power generating asset.  Design of the compliance due diligence program included collaboration with counsel to develop due diligence questions applicable across the spectrum of potential third parties and languages, including small, single proprietary vendors and local tradespeople, as well as larger, established local and regional contractors.  We also assisted with the development of onboarding compliance and business ethics training tools for the client’s onsite managers and local partners.   

During the later stages of asset development, we implemented our cloud-based technology platform, TDI Diligence Suite, to allow for automation of the onboarding, screening, and monitoring of third parties across the client’s overall operations.  The resources within TDI Diligence Suite have assisted the portfolio companies in audits and reporting to their individual directors and investment sponsors.  For almost 10 years, we have continued to work closely with the client’s commercial and compliance team to manage the risks associated with their existing operations and to help assess potential new investments and partnership opportunities across Africa.
